Preparing Your Commercial Lease

The essential elements contained within a lease include:

  • Naming –
    The landlord and tenant parties involved, with address and contact details
  • Property Description –
    Together with specific internal or external spaces or areas included in the lease contract

    The purpose for which the tenant can use the property e.g. retail, offices, car parking
  • Lease Term –
    How many years and months on the lease
  • Duration –
    When it will start and finish, e.g. including a date when you can start to negotiate renewal of the lease
  • Renewal Options –
    Terms for renewing the lease, including notice periods and any changes in terms
  • Base Rent –
    Amount of rent and payment due date. Plus frequency of payment (monthly, quarterly)
  • Additional Rent –
    Details on additional maintenance charges like utilities or property tax
  • Rent Increases –
    Dates when the rent will be increased or assessed for increase, and the method of calculation (e.g., percentage increase, CPI adjustments)
  • Security Deposit –
    The amount of deposit held as security that is required and conditions for returning or withholding
  • Maintenance and Repairs –
    What the Landlord is responsible for and the tenant
  • Improvements, Modifications and the Approval Process –
    for obtaining prior approval before improvements or modifications are made. Plus, who retains ownership of improvements at the end of the lease term
  • Insurance –
    for both Landlord and Tenant
  • Taxes and Operating Expenses
  • Property Taxes –
    Who is responsible for payment of property taxes.
  • Operating Expenses & Service Charges –
    How operating expenses (common area maintenance, utilities) will be allocated
  • Subleasing and Assignment –
    Conditions for sub-letting the premises, or assigning it to another party
  • Default and Termination –
    Additional clauses to cover default under the lease, remedies in case of default and early termination clauses
  • Dispute Resolution –
    Clarifying processes for resolving disputes and legal jurisdiction and governing law for legal disputes.
  • Miscellaneous Clauses, signage, parking, operating hours, terms regarding tenant access.
  • Force Majeure, Signatures, Date.
