Lawson West Solicitors recently advised Chord Consult Limited, a director-led engineering consultancy firm specialising in mechanical and electrical design operating across the Midlands and wider UK construction market, on the establishment of an Employee Benefit Trust (EBT) and purchase of founder shares by the EBT.
The company corporate team at Lawson West advised the Chord Consult on the establishment of the EBT, including providing advice on the structure of the trust, appointment of trustees, preparation of key trust documents and facilitating the establishment of the EBT. The team also subsequently facilitated and advised on the purchase of shares from co-founder Ashley Cowdrey by the established EBT, providing legal support and expertise advice throughout including drafting all key sale transaction documents, and ensured a smooth process and successful outcome for all parties.
Led by our company corporate solicitor Oreva Ojuh, the creation of the EBT and share purchase by the EBT was completed within 10 days from instruction to completion, before the end of the 2025/2026 financial year.
As a business committed to building an employee-led business ethos, the timely completion of this transaction by the Lawson West team was pivotal in placing the Company in a good position for employee ownership for the new financial year.
The team is pleased to have advised and supported directors, Alex, Jim and Matt successfully through this process.
