The Companies act 2006 (2006 Act) has, for the first time, put into statute the duties owed by a director to the company he or she works for. The relevant sections of the 2006 Act are section 172 to 176 and the duties are:-

Please remember that this note only covers duties owed by a director to the company. Directors will, however, have many other duties, both under the 2006 Act, such as the duty to deliver accounts, and under a wide variety of other laws and regulations, such as insolvency and health and safety legislation.
